Terms of Service

These Terms of Service govern your access to and use of TidyConvert, including subscriptions, missed-call workflows, SMS consent, messaging, call routing, usage billing, and related services.

Applies To TidyConvert

By accessing or using TidyConvert, you agree to these Terms of Service. If you do not agree, do not use the website, platform, or services.

These Terms are intended for general business use. They do not create a regulated-industry agreement, business associate agreement, data processing agreement, service level agreement, or custom enterprise contract unless one is separately signed by TidyConvert.

1. About TidyConvert

TidyConvert provides missed-call recovery, automated text-back, inbound message routing, keyword workflows, follow-up sequences, call forwarding, staff notifications, reporting, and related communication automation tools.

The service is designed to help businesses respond to missed calls and customer inquiries more efficiently. TidyConvert does not guarantee that any customer, lead, caller, or prospect will respond, book, purchase, or generate revenue.

2. Eligibility and Account Responsibility

You must be authorized to create and manage an account on behalf of the business using TidyConvert. You are responsible for the accuracy of account information, business information, billing information, phone number settings, routing rules, message templates, user access, and automation settings.

You are responsible for maintaining the confidentiality of account credentials and for all activity that occurs under your account.

3. Subscriptions, Plans, and Fees

TidyConvert may offer subscription plans that include platform access, included monthly customer volume, included call minutes, phone number access, automation features, reporting, and related services.

Fees may include:

  • monthly platform subscription fees
  • one-time setup fees
  • additional customer usage fees
  • additional call minute fees
  • additional phone number or location fees
  • taxes, regulatory fees, carrier fees, or payment processing-related charges where applicable

Plan features, prices, included usage, overage rates, and promotional discounts may vary by plan, offer, account type, or signed agreement.

4. Billing and Automatic Renewal

Unless otherwise stated, subscriptions renew automatically on a recurring monthly basis until canceled. You authorize TidyConvert and its payment processor to charge your payment method for subscription fees, setup fees, overages, additional number or location fees, taxes, regulatory fees, carrier fees, and other applicable charges.

If payment fails, TidyConvert may retry payment, limit account access, suspend workflows, pause phone number provisioning, disable messaging, or terminate service.

5. Billable Customer Definition

For billing purposes, a Customer means a unique phone number in E.164 format that triggers a recovery workflow within a rolling 24-hour window.

A customer may be counted when:

  • a missed call triggers an automated text-back
  • an inbound text enters an automation workflow
  • staff manually triggers a recovery workflow

The following activity generally does not create a new billable customer inside the same rolling 24-hour window:

  • repeat calls from the same phone number
  • ongoing messages in the same recovery window
  • follow-up sequences connected to the same recovery event

6. Rolling 24-Hour Billing Window

The 24-hour billing window begins when the first qualifying recovery trigger occurs for a unique phone number. The window is rolling and is not based on a calendar day.

For example, if the first missed call occurs Monday at 2:00 PM, the billing window for that phone number ends Tuesday at 2:00 PM. A call from the same number Monday at 5:00 PM would remain inside the same customer window. A call Tuesday at 1:59 PM would also remain inside the same customer window. A new qualifying trigger from that same number Tuesday at 2:01 PM may create a new billable customer.

7. Additional Customer Fees

If your account exceeds the number of customers included in your subscription plan, additional customer fees may apply at the rate listed for your plan, checkout page, invoice, order form, or applicable offer.

Additional customer fees are usage-based platform fees. They are not simply SMS pass-through charges or per-text message charges. These fees may cover automation usage, recovery workflow value, platform usage, telecom costs, support overhead, reporting, and margin.

8. Call Minutes and Overage Usage

Call minutes may include inbound call legs, forwarded call legs, or other telecom usage associated with call routing and forwarding through the platform.

Call minutes may be rounded up by minute. If your account exceeds the call minutes included in your subscription plan, overage fees may apply at the rate listed for your plan, checkout page, invoice, order form, or applicable offer.

9. Message Usage

Standard message usage may be included as part of the service and may not be separately billed unless otherwise stated. TidyConvert may enforce internal usage caps, rate limits, message limits, or fair-use controls to protect system performance, telecom compliance, carrier reputation, and platform margins.

Excessive, abusive, unlawful, carrier-filtered, or non-compliant messaging may result in suspension, message blocking, workflow limits, phone number restrictions, or termination.

10. Additional Phone Numbers and Locations

Subscription plans may include one business phone number or one business location. Additional phone numbers or locations may be billed monthly at the rate listed for your plan, checkout page, invoice, order form, or applicable offer.

Additional phone number or location fees may cover number access, separate routing logic, distinct business lines, location-specific reporting, number management, telecom configuration, and related support overhead.

11. Setup Fees

TidyConvert may charge a one-time setup fee for onboarding, account setup, number configuration, workflow configuration, initial business setup, or related implementation work. Setup fees may be waived, discounted, or modified as part of a promotion.

Unless otherwise stated, setup fees are non-refundable once onboarding, configuration, or implementation work has started.

12. Usage Records and Billing Disputes

TidyConvert’s usage records, billing records, telecom records, and system logs may be used to calculate subscription charges, included usage, overages, customer counts, call minutes, message usage, and number/location fees.

If you believe a charge is incorrect, you must contact us within 30 days of the invoice date. Failure to dispute a charge within that period may waive your right to challenge the charge, except where prohibited by law.

13. Customer Consent and Legal Compliance

You are responsible for obtaining and maintaining all legally required consent before using TidyConvert to call, text, route, automate, or otherwise communicate with any customer, lead, caller, patient, client, prospect, or end user.

Consent must be valid for the type of communication being sent. You may not rely on the mere possession of a phone number as consent to send SMS messages. Where required, you must provide a clear opt-in disclosure that includes message frequency, notice that message and data rates may apply, HELP instructions, STOP opt-out instructions, and links to applicable terms or privacy information.

You are responsible for compliance with applicable laws, rules, industry requirements, carrier rules, 10DLC requirements, CTIA guidelines, and consumer protection requirements, including those related to telephone calls, SMS, marketing messages, transactional messages, opt-outs, privacy, data protection, and advertising.

TidyConvert may provide tools that support consent tracking, opt-out handling, suppression, and compliance workflows. Those tools do not replace your legal obligations.

14. SMS Consent, HELP, and STOP Requirements

If you use TidyConvert to send SMS messages, you must ensure your opt-in process clearly informs end users that they are agreeing to receive text messages from your business. You must also ensure that your messages identify your business where appropriate and include required disclosures when required by law, carrier rules, platform policy, or campaign approval requirements.

End users must be able to reply STOP to opt out and HELP to receive assistance. You may not disable, ignore, hide, or interfere with STOP, HELP, opt-out, suppression, or blocked contact functionality.

You agree not to send messages to end users who have opted out unless they have provided valid renewed consent and messaging is legally permitted.

15. Mobile Number Privacy

You may not sell, rent, share, upload, import, or otherwise use mobile phone numbers or SMS consent data in a way that violates applicable law, carrier rules, platform requirements, or TidyConvert policy.

TidyConvert does not sell, rent, or share mobile phone numbers or SMS consent data with third parties for their own marketing or promotional purposes. Mobile numbers and SMS consent data may be processed as needed to provide the service, deliver messages, process replies, honor opt-outs, maintain suppression records, prevent abuse, troubleshoot delivery, and comply with legal, telecom, carrier, and 10DLC requirements.

16. Opt-Outs and Suppression

You must honor opt-out requests and must not attempt to bypass suppression, blocked contact rules, STOP requests, carrier rules, provider rules, or platform compliance controls.

TidyConvert may block, suppress, or prevent communications to certain phone numbers when required by law, carrier rules, provider rules, internal policy, abuse prevention systems, or opt-out records.

17. Prohibited Uses

You may not use TidyConvert to:

  • send spam, unlawful messages, or unauthorized marketing
  • contact people without proper consent where consent is required
  • harass, threaten, deceive, defraud, or impersonate others
  • send misleading, abusive, harmful, or illegal content
  • send phishing, malware, credential theft, or malicious links
  • send third-party lead generation, affiliate marketing, or purchased-list messaging without proper approval and consent
  • send cannabis, CBD, tobacco, vape, firearms, gambling, adult, or other prohibited content
  • send loan, debt relief, credit repair, high-risk financial, or regulated content without required approval
  • violate telecom provider, carrier, 10DLC, messaging, or phone number rules
  • bypass opt-outs, blocked contacts, carrier filtering, or suppression controls
  • interfere with platform security, availability, or performance
  • reverse engineer, scrape, overload, or misuse the service
  • use the service for any unlawful, deceptive, abusive, or high-risk purpose

18. Restricted Use Cases and Campaign Review

Certain messaging use cases may require additional review, documentation, registration, verification, or approval before messages can be sent. This may include healthcare, financial services, debt collection, legal services, government-related communications, political messaging, age-restricted products, regulated products, high-volume marketing, or other use cases subject to special rules.

TidyConvert may reject, limit, suspend, delay, or disable messaging if your campaign information, opt-in process, sample messages, business information, industry category, or use case is incomplete, inaccurate, unverifiable, prohibited, or rejected by a telecom provider, carrier, or registration system.

19. Telecom Providers and Third-Party Services

TidyConvert depends on third-party providers for messaging, calls, phone numbers, payment processing, hosting, analytics, support, and related services. These providers may impose their own terms, restrictions, compliance rules, and service limitations.

We are not responsible for delays, failures, outages, filtering, blocked messages, unavailable phone numbers, carrier restrictions, provider errors, 10DLC registration delays, campaign rejections, or third-party service interruptions outside our direct control.

20. Phone Numbers

Phone numbers provisioned through TidyConvert are subject to availability, provider rules, carrier rules, regulatory requirements, billing status, account compliance, and campaign registration status.

TidyConvert may reclaim, release, suspend, replace, or restrict phone numbers if required due to nonpayment, account closure, provider rules, regulatory requirements, inactivity, abuse, messaging violations, opt-out abuse, or compliance concerns.

Number porting may be subject to provider requirements, account standing, identity verification, outstanding balances, technical feasibility, and applicable law.

21. No Guaranteed Results

TidyConvert is a communication automation platform. We do not guarantee that use of the service will result in recovered customers, booked appointments, increased revenue, improved conversion rates, customer responses, successful deliveries, or uninterrupted communications.

Statements such as “recover missed customers” or “pay for itself” are product positioning statements, not guaranteed financial outcomes.

22. Service Availability and Changes

We may update, modify, suspend, discontinue, limit, or replace any feature, workflow, plan, integration, number, report, or service component at any time.

We do not guarantee uninterrupted service, error-free operation, successful message delivery, successful call routing, or permanent availability of any feature unless a separate written agreement says otherwise.

23. Account Suspension or Termination

We may suspend, restrict, or terminate your account if:

  • payment fails or invoices remain unpaid
  • you violate these Terms
  • your use creates legal, security, carrier, provider, or compliance risk
  • your messages are abusive, unlawful, high-risk, rejected, or carrier-filtered
  • you misuse phone numbers, workflows, or platform resources
  • you bypass or attempt to bypass consent, STOP, HELP, opt-out, or suppression rules
  • your campaign, brand, phone number, or registration information is rejected or cannot be verified
  • we are required to do so by law, provider rule, carrier requirement, or platform policy

24. Cancellation

You may cancel your subscription according to the cancellation process made available in your account or by contacting support. Cancellation stops future renewal charges but does not automatically refund prior fees, setup fees, overages, usage charges, or charges already incurred unless required by law or stated in a separate written agreement.

25. Intellectual Property

TidyConvert owns or licenses the platform, website, software, design, branding, workflows, documentation, reports, templates, and related materials. You may not copy, modify, reverse engineer, resell, sublicense, or exploit the service except as allowed by these Terms.

You retain ownership of your business data, message templates, customer data, and content you provide, subject to the rights needed for TidyConvert to operate and provide the service.

26. Feedback

If you provide ideas, suggestions, feedback, or recommendations, you allow TidyConvert to use them without restriction or compensation.

27. Disclaimer of Warranties

The service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, TidyConvert disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, deliverability, successful campaign approval, successful carrier registration, and uninterrupted operation.

28. Limitation of Liability

To the maximum extent permitted by law, TidyConvert will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost customers, lost data, lost opportunities, business interruption, goodwill loss, telecom failure, message filtering, failed routing, missed calls, failed automations, failed registration, campaign rejection, or phone number suspension.

To the maximum extent permitted by law, TidyConvert’s total liability for any claim related to the service will not exceed the amount you paid to TidyConvert for the service during the 12 months before the event giving rise to the claim.

29. Indemnification

You agree to defend, indemnify, and hold harmless TidyConvert and its owners, officers, employees, contractors, vendors, and affiliates from claims, damages, liabilities, penalties, losses, and expenses arising out of your use of the service, your message content, your communications with end users, your failure to obtain consent, your violation of law, your violation of telecom or carrier requirements, your violation of these Terms, or your misuse of the platform.

30. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, except where required otherwise by applicable law.

31. Related Policies

Your use of TidyConvert is also subject to the TidyConvert Privacy Policy, SMS Consent Terms, and Acceptable Use Policy. These policies are incorporated into these Terms by reference.

32. Changes to These Terms

We may update these Terms from time to time. When we do, we may revise the effective date above. Continued use of the website or service after updated Terms become effective means the updated Terms apply.
